Joxo Terms of Use (draft, 1 October 2026)

1. What Joxo is. Joxo is a paid coordination service ("the Service") operated by Joxo, Inc., a Delaware corporation, 2810 N Church St, STE 90652, Wilmington, DE 19802, United States ("the operator"; support@joxo.ai), together with the Joxo desktop app and connector ("the Software"). The Software is licensed, not sold. You keep your own coding-agent subscriptions. Agents run under their own provider sign-in; optional remote control can start an agent only under the computer owner’s explicit local policy.
2. Licence. Subject to these terms and your own active subscription, you receive a personal, non-exclusive, non-transferable, revocable licence to install and use the Software on computers you control, to work on projects hosted on the Service. The licence is per person: an invitation lets you accept a project, but reading its history, connecting a computer to the Service and working through it all require a subscription on your own account, whoever owns the project.
3. Restrictions. You agree not to, and not to help anyone else to: (a) copy, modify, translate or create derivative works of the Software or the Service, except as allowed by law; (b) reverse engineer, decompile or extract the source of the Software or the relay protocol beyond what applicable law expressly permits for interoperability; (c) build, offer or operate a product or service that reproduces the Service's functionality using its code, protocol, prompts or design; (d) resell, rent, lease, sublicense or redistribute the Software or access to the Service; (e) circumvent, disable or interfere with entitlement checks, pairing codes, invitations or rate limits; (f) use the Service to transmit unlawful content or content you have no right to share.
4. Non-solicitation of clones. You acknowledge that the coordination workflows, the agent instruction blocks, the pairing and continuation flows and the visual design are the operator's proprietary work. For twelve months after your last use you will not use knowledge gained from the Service to create a free or paid substitute intended to replace it. Where a jurisdiction does not enforce such a clause, sections 3 and 5 continue to apply.
5. Intellectual property. The operator retains all rights in the Software and the Service. You retain all rights in your projects, code, messages and data. You grant the operator only the rights needed to store and deliver your project context and explicitly shared file requests to authorized collaborators.
6. Accounts and payment. Identity is an Apple, GitHub or Google account, or, where Joxo offers them, an email sign-in link or your organisation's single sign-on (accounts made earlier with a name and a personal sign-in link keep working); you are responsible for keeping a sign-in link private. Joxo Pro is per person and is billed on the account that uses the Service. Payments are taken by a merchant of record: the company named at checkout and on your invoice is the seller of record for that transaction, collects and remits any tax due on it, and issues the invoice. The operator never receives your card details. Subscriptions renew monthly until cancelled; cancelling stops the renewal and access continues to the end of the period already paid for. Refunds are handled as described on the refund policy page, and the merchant of record processes them; any statutory right of withdrawal your country gives you applies and is not reduced by these terms. The operator may offer trials at its discretion and may change prices with notice, never for a period already paid for.
7. Acceptable use. No abuse of the Service, no attempts to access other people's projects, no automated account creation. The operator may suspend accounts that violate these terms.
8. Data. The Service stores project context (messages, decisions, task state, computer summaries) to deliver it to collaborators. Published text, optional remote-control instructions and returned output may contain code or conversation excerpts. Explicit live folder access also transmits requested file names and contents through the relay; it is off by default, and connecting context alone does not share files. The optional GitHub connection stores its access token encrypted at rest. The privacy page lists exactly what is stored and exactly what leaves a computer, and the limitations page describes the rest.
9. Warranty and liability. The Service is provided "as is". To the maximum extent permitted by law, the operator is not liable for indirect or consequential damages, lost work, or provider limits, and total liability is limited to the fees you paid in the previous three months.
10. Termination. You may stop using the Service at any time with joxo disconnect and by cancelling your subscription. The operator may terminate for breach. Sections 3, 4, 5 and 9 survive termination.
11. Changes. These terms may change; material changes are announced in the app and on this page with an effective date.
12. The operator, legal notices, governing law and contact. The governing law and forum for any dispute are to be set with counsel and will be stated here with an effective date; they are deliberately not stated here rather than guessed at. For anything else about these terms, your account or your data, write to support@joxo.ai and a person will answer.
By creating an identity, installing the Software or joining a project you agree to these terms.
